1. Agreement Acceptance

This Service Agreement ("Agreement") constitutes a binding contract between BaygenX Software Labs Private Limited ("BaygenX," "Company," "We," or "Us") and you ("User" or "you") concerning your utilization of the 9to5Interview platform and associated services (the "Platform"). Accessing or utilizing any part of the Platform indicates that you have reviewed, comprehended, accepted, and consent to be governed by this Agreement.

This Agreement encompasses the conditions outlined on this page, plus terms from the following supplementary policies incorporated by reference:

• Privacy Policy: Please examine our Privacy Policy thoroughly, as it outlines our practices regarding personal information collection, usage, and disclosure.
• Licensing Terms: Source-code license purchases are governed by our Licensing Terms.
• Cookie Policy: Your cookie preferences are governed by our Cookie Policy.

2. Agreement Modifications

BaygenX maintains the authority to alter, modify, supplement, or remove sections of this Service Agreement at any time by publishing updated terms on or within the Platform. You are responsible for regularly reviewing these terms. Continued Platform usage following term modifications constitutes acceptance of the revised Agreement. When changes significantly impact your rights or obligations, BaygenX will notify you through email or notifications during your next Platform login.

3. Description of Service

9to5Interview, operated by BaygenX Software Labs Private Limited, provides an AI-powered interview preparation and assessment platform. The Service is offered in two formats:

• Platform Access (Hosted Service): We host and maintain the platform on our servers. Users access it through their web browser to practise interviews, receive AI-generated questions, and get detailed performance reports.
• Source-Code License: Buyers receive the complete source code of the platform with rights to modify, rebrand, and deploy it on their own infrastructure for internal use.

4. Platform Access & Age Restrictions

Accessing or using the Platform signifies acceptance of these terms. You confirm that you are at least eighteen (18) years old, have not been previously suspended or banned from the Platform, and are not restricted from receiving services under applicable laws. Users under 18 are prohibited from Platform usage under any circumstances.

5. User Accounts

Creating or updating a Platform Account may require providing personal information, including your name, birth date, email address, and sometimes payment details. You agree to provide accurate and complete information and promptly update it when it changes.

You bear sole responsibility for maintaining your login credentials confidentiality and will be accountable for all activities occurring through your Account, whether or not you performed such actions. You must notify us immediately of any unauthorized use of your account.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to reverse-engineer, decompile, or disassemble the hosted platform
• Interfere with or disrupt the integrity or performance of the Service
• Share account credentials with unauthorized third parties
• Use automated scripts, bots, or scrapers against the platform without authorization
• Submit false or misleading information during interviews or registration
• Upload, post, or transmit vulgar, indecent, obscene, or offensive material
• Harass, threaten, stalk, intimidate, or abuse other users
• Upload or transmit files containing viruses, malware, or harmful software
• Violate intellectual property or other rights of any party
• Create false personas or multiple identities
• Develop, distribute, or use software designed to exploit platform errors
• Engage in fraudulent activity of any kind

7. Intellectual Property

The 9to5Interview platform, including its design, code, AI models, algorithms, text, graphics, and trademarks, is owned by BaygenX Software Labs Private Limited. All rights are reserved unless explicitly granted under a licensing agreement. The entire Platform contents are protected by applicable copyright, trademark, and other intellectual property laws.

You shall not modify, decompile, disassemble, reverse engineer, copy, transfer, create derivative works from, or distribute any Platform materials without BaygenX's explicit, prior written permission.

For Source-Code License holders: upon purchase and execution of the license agreement, you receive the rights specified in the Licensing Terms page. The license grants modification and deployment rights but does not transfer ownership of the underlying intellectual property or trademarks.

8. Payment Terms

All fees are quoted in Indian Rupees (₹) and are non-refundable unless otherwise stated. Platform Access is charged per user. Source-Code License pricing is provided via custom quote. Education and non-profit discounts are available upon verification of eligibility. Payment must be received before access is granted. All purchases are final and non-refundable, non-transferable, and non-exchangeable, except at BaygenX's sole discretion.

9. Data & Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of data as described therein. Interview recordings, transcripts, and evaluation data may be processed by our AI systems to provide scoring and feedback.

10. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, BAYGENX DISCLAIMS ALL WARRANTIES REGARDING THE PLATFORM AND YOUR USAGE THEREOF. We do not guarantee that the AI-generated interview evaluations will perfectly reflect real-world interview outcomes. The Service is a preparation tool and does not guarantee employment or academic results.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BAYGENX SOFTWARE LABS PRIVATE LIMITED SHALL NOT BE LIABLE FOR ANY SPECIAL, DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. Our total liability shall not exceed the amount paid by you to BaygenX in the twelve (12) months preceding the claim.

12. User Indemnification

You agree to indemnify and hold BaygenX Software Labs Private Limited harmless from any loss, liability, claim, demand, damages, costs, and expenses, including reasonable attorney's fees, arising from your Platform usage or Agreement violations.

13. Account Termination

We may suspend or terminate your access to the Service at our discretion if you violate these Terms, without prior notice. Upon termination, your right to use the Service ceases immediately and no refunds will be provided. Source-Code License holders retain rights to code already delivered, subject to the licensing agreement terms.

14. Dispute Resolution & Arbitration

Disputes arising from this Agreement shall be resolved through binding arbitration. Arbitration employs a neutral arbitrator instead of a judge or jury and has very limited court review. You understand and agree that by entering this Agreement, you and BaygenX waive the right to jury trial or class action participation.

Any arbitration will follow standard commercial dispute resolution procedures. Parties seeking arbitration must first send written dispute notice to the other party.

15. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana, India.

16. General Provisions

This Agreement constitutes the complete agreement between you and BaygenX regarding the Platform. If any provision is found unenforceable, remaining provisions shall remain in full force and effect. We reserve the right to modify these Terms at any time. We will notify users of material changes by posting updated Terms on this page with a new effective date.
